ALHO Photo License Agreement

Effective date: 01.01.2026

This License Agreement ("Agreement") governs the licensing, purchase, download, access to, and use of photographs, image files, previews, captions, metadata, and related content created and owned by ALHO Photo Ltd. ("Licensor").

The primary portfolio website of ALHO Photo Ltd. is alhophoto.com. This website presents photographic work and provides information about the photographer and the company.

All image licensing, image sales, and commercial image distribution are conducted through the dedicated licensing platform alhomedia.com and any associated archive, delivery, hosting, or e-commerce platform, including PhotoShelter (collectively, the "Licensing Platform").

Any purchase, license, download, access to, or use of images obtained through alhomedia.com, PhotoShelter archives, or associated delivery systems is governed by this Agreement.

By purchasing, downloading, licensing, accessing, or using any image or related content from the Licensing Platform, the customer, buyer, licensee, agency, publisher, company, team, sponsor, organization, or individual obtaining the image ("Licensee") agrees to be bound by this Agreement.

2. Licensing Platform

ALHO Photo Ltd. operates separate websites with different purposes:

• alhophoto.com – the primary portfolio and informational website of ALHO Photo Ltd.;
• alhomedia.com – the official licensing, sales, and media distribution platform where photographs may be licensed, purchased, downloaded, or delivered.

All licensing transactions, including image licensing, pricing, permissions, delivery, and licensing confirmations, are processed through alhomedia.com and/or associated archive systems such as PhotoShelter.

The terms of this Agreement apply to all images licensed via alhomedia.com, regardless of whether the images are discovered through alhophoto.com, alhomedia.com, search engines, editorial references, direct links, social media, or any other distribution channel.

For the avoidance of doubt, the presence of an image on alhophoto.com does not grant any license, consent, or permission to download, reproduce, distribute, publish, display, store, transmit, or otherwise use that image unless a valid license has been obtained through alhomedia.com or directly in writing from ALHO Photo Ltd.

3. Ownership and Reservation of Rights

All photographs, previews, captions, metadata, watermarked files, and related materials are and remain the exclusive property of ALHO Photo Ltd. and/or its applicable rights holders. No ownership, copyright, title, or intellectual property right is transferred to Licensee. Only a limited, revocable, non-transferable, non-sublicensable license is granted, strictly subject to this Agreement and the specific license purchased.

All rights not expressly granted are reserved by ALHO Photo Ltd.

4. License Nature

Unless expressly agreed otherwise in a separate written instrument signed by ALHO Photo Ltd., all licenses granted under this Agreement are:

• non-exclusive;
• non-transferable;
• non-sublicensable;
• limited to the exact use, media, duration, territory, quantity, audience, and scope purchased;
• conditional upon full payment of all fees before use begins.

Any use beyond the purchased scope requires ALHO Photo Ltd.'s prior written consent and may require an additional fee.

This Agreement applies to photographs and related content in the following categories:

• Formula 1 / F1
• Motorsport (excluding Formula 1 unless otherwise specified)
• Aviation

6. PhotoShelter License Profiles

The following license profiles may be made available through the Licensing Platform. Each license applies only to the exact profile selected or expressly confirmed in writing.

7. Personal License Terms

The following profiles are governed by this section:

• F1 Personal License
• Motorsport Personal License
• Aviation Personal License

A Personal License permits private, non-commercial use by an individual person only.

Permitted uses:

• personal device wallpaper;
• personal, non-commercial social media posting;
• private home display or private print for personal enjoyment;
• non-commercial archival use by the individual purchaser.

Prohibited uses:

• editorial publication;
• news reporting;
• magazine, newspaper, publisher, or commercial blog use;
• advertising, sponsorship, PR, promotion, endorsement, or marketing use;
• use by companies, teams, sponsors, operators, agencies, manufacturers, airlines, military entities, museums, organizers, promoters, or any organization;
• resale, redistribution, print-on-demand, merchandise, giveaways, or commercial print sales;
• AI training, machine learning, dataset use, scraping, or synthetic media use.

8. Editorial Web License Terms

The following profiles are governed by this section:

• F1 Editorial Web
• Motorsport Editorial Web
• Aviation Editorial Web

An Editorial Web License permits editorial online publication only, solely in connection with genuine news, commentary, criticism, reportage, documentary coverage, or other bona fide editorial context.

Permitted uses:

• news websites;
• publisher websites;
• online magazine articles;
• editorial blog or digital news coverage, provided it is editorial in nature and not promotional.

Prohibited uses:

• advertising, sponsorship, promotion, endorsement, or marketing;
• native advertising, branded content, advertorial, or sponsored content;
• team, sponsor, operator, airline, manufacturer, PR, or corporate communications use unless separately licensed;
• corporate promotional website use unless separately licensed.

9. Editorial Print License Terms

The following profiles are governed by this section:

• F1 Editorial Print
• Motorsport Editorial Print
• Aviation Editorial Print

An Editorial Print License permits one-time editorial use in printed newspapers, consumer magazines, and trade magazines only.

Permitted uses:

• newspapers;
• consumer magazines;
• trade magazines;
• print editorial reports, reviews, and features.

Prohibited uses:

• book covers, textbooks, catalogues, brochures, flyers, promotional print, posters, or similar materials unless separately licensed;
• advertising or commercial exploitation of any kind;
• team, sponsor, corporate, PR, operator, or manufacturer use unless separately licensed.

10. Commercial License Terms

The following profiles are governed by this section:

• F1 Commercial
• Motorsport Commercial
• Aviation Commercial

A Commercial License permits commercial use only to the exact extent expressly purchased and confirmed by ALHO Photo Ltd., including only the media, duration, territory, placement, campaign scope, audience, quantity, and named user purchased.

Commercial use may include:

• advertising campaigns;
• brand marketing;
• commercial websites;
• digital advertising;
• print advertising;
• promotional materials expressly stated in the invoice or order confirmation.

Not included unless expressly granted in writing:

• merchandise;
• product packaging;
• broadcast, television, streaming, or film production;
• out-of-home campaigns, billboards, or large-format displays;
• perpetual, unlimited, or global campaign rights unless expressly licensed;
• use by unnamed affiliates, partners, clients, sponsors, or agencies;
• AI training, machine learning, synthetic media generation, or dataset use.

Credit line: No credit required unless expressly stated otherwise in writing. Where credit is given, it must appear as: ALHO Photo / alhophoto.com

11. Team & Sponsors License Terms

The following profiles are governed by this section:

• F1 Team & Sponsors
• Motorsport Team & Sponsors
• Aviation Team & Sponsors

This category applies to any use by or for teams, drivers, sponsors, racing organizations, PR agencies, airlines, aviation operators, manufacturers, aerospace companies, corporate communications departments, military operators, event organizers, promoters, museums, or similar entities.

Because such uses vary substantially in value, scope, and legal sensitivity, this category is licensed strictly on a case-by-case basis and only to the extent expressly confirmed in writing by ALHO Photo Ltd.

Typical uses may include:

• press releases;
• press kits;
• external newsletters;
• public relations distribution;
• approved social media use;
• team, sponsor, operator, or corporate communications;
• approved PR and media relations materials.

Mandatory rule: No use is authorized beyond the specifically approved scope.

12. Formula 1 / F1 Specific Restrictions

Images depicting Formula 1 events, teams, drivers, cars, branding, liveries, logos, sponsors, paddock environments, restricted areas, event infrastructure, and similar subject matter may be subject to third-party rights, trademark rights, accreditation terms, venue rules, publicity rights, or organizer restrictions.

Licensee is solely responsible for determining whether the intended use requires additional permissions, releases, approvals, or consents from Formula 1, teams, drivers, sponsors, governing bodies, organizers, promoters, or other third parties.

ALHO Photo Ltd. grants only its own rights, if any, and does not warrant that any third-party permission is included.

13. Motorsport and Aviation Specific Restrictions

Images depicting motorsport series, teams, drivers, event organizers, liveries, helmets, vehicles, or aviation operators, aircraft manufacturers, airlines, military units, uniforms, serial numbers, insignia, logos, markings, museums, or airshow branding may involve additional third-party rights or restrictions.

Licensee bears sole responsibility for obtaining any additional permissions required for the intended use.

14. Credit Requirements

• Personal License profiles: credit appreciated where feasible: ALHO Photo / alhophoto.com
• Editorial Web profiles: mandatory credit: ALHO Photo / alhophoto.com
• Editorial Print profiles: mandatory credit: ALHO Photo / alhophoto.com
• Commercial profiles: no credit required unless specified; if credit is used: ALHO Photo / alhophoto.com
• Team & Sponsors profiles: preferred unless waived in writing: ALHO Photo / alhophoto.com

Failure to provide a mandatory credit constitutes a material breach of this Agreement and may result in additional fees, takedown demands, revocation of the license, and claims for damages.

15. Prohibited Uses

Regardless of license type, the following uses are strictly prohibited unless ALHO Photo Ltd. has granted prior written consent:

• use outside the exact purchased scope;
• use after expiration of the licensed term;
• use outside the licensed territory;
• transfer, resale, sublicensing, relicensing, sharing, lending, or distribution to third parties;
• use in a logo, trademark, service mark, or brand identity;
• defamatory, unlawful, pornographic, hateful, misleading, or immoral use;
• any implication of endorsement, approval, sponsorship, or affiliation;
• removal or alteration of metadata, copyright notices, authorship information, or rights-management data;
• AI training, machine learning, scraping, dataset inclusion, model training, or synthetic media generation;
• NFT, tokenization, blockchain-based exploitation, or stock redistribution.

16. Alterations and Integrity

No substantial alteration, manipulation, compositing, retouching, caption distortion, or contextual reframing is permitted unless expressly approved in writing by ALHO Photo Ltd. Standard editorial cropping and sizing are allowed only if they do not misrepresent the image or its factual context.

17. Releases and Third-Party Rights

Unless ALHO Photo Ltd. expressly states otherwise in writing, no model release, property release, trademark clearance, organizer approval, accreditation waiver, or other third-party permission is granted or implied.

Licensee is solely responsible for assessing and securing all additional permissions required for its intended use.

18. Delivery, Files, and Metadata

Files are licensed as delivered. Preview images, watermarked files, captions, and metadata remain protected. Licensee shall not remove, suppress, disable, alter, or modify embedded metadata, copyright information, authorship data, or rights-management information.

19. Unauthorized Use and No Implied License

Any use of an image without a valid license, outside the scope of a valid license, after termination or expiry of a license, or in breach of this Agreement is an unauthorized use and constitutes an infringement of copyright and/or a breach of contract, as applicable.

No act, omission, communication, invoice, delivery of a preview, exchange of low-resolution files, watermark display, caption visibility, portfolio display, or prior course of dealing shall be construed as granting any license by implication, estoppel, waiver, or otherwise. A license is valid only if expressly granted by ALHO Photo Ltd. through the Licensing Platform or by separate written confirmation.

20. Retroactive Licensing and Unauthorized Use Fee

If Licensee uses any image without a valid license, or exceeds the scope of a granted license, ALHO Photo Ltd. reserves the right, in addition to all other remedies available at law or in equity, to demand:

• immediate cessation of the unauthorized use;
• immediate removal and deletion of the image from all platforms and materials;
• payment of the applicable standard license fee for the actual use made;
• an additional unauthorized use surcharge of up to 200% of the applicable standard license fee;
• additional damages for missing or removed credit lines, altered metadata, or false rights claims;
• reimbursement of enforcement, investigation, collection, legal, and administrative costs to the extent permitted by law.

Any retroactive fee, settlement, invoice, or demand issued by ALHO Photo Ltd. shall not be construed as a waiver of infringement, nor as an obligation on ALHO Photo Ltd. to grant a retrospective license.

21. Fees, Taxes, and Payment

All fees are payable in full without deduction, withholding, set-off, or counterclaim unless required by mandatory law. Taxes, duties, levies, bank charges, and currency conversion costs are the sole responsibility of Licensee unless expressly stated otherwise.

No license becomes effective until payment has been successfully received in full.

22. Breach, Revocation, and Takedown

Any breach of this Agreement automatically terminates the license without refund and without prejudice to any other rights or remedies available to ALHO Photo Ltd.

Upon breach or upon written demand by ALHO Photo Ltd., Licensee shall immediately:

• cease all use of the relevant image(s);
• remove the image(s) from all websites, platforms, servers, social media accounts, newsletters, databases, and materials under its control;
• destroy or permanently delete all copies, backups, exports, caches, and derivatives to the extent legally permissible;
• confirm compliance in writing upon request.

23. Indemnity

Licensee shall defend, indemnify, and hold harmless ALHO Photo Ltd., its officers, directors, employees, agents, contractors, licensors, and affiliates from and against all claims, liabilities, losses, damages, costs, expenses, and reasonable legal fees arising out of or related to Licensee's use of the image(s), breach of this Agreement, failure to obtain third-party permissions, or unlawful exploitation.

24. Disclaimer of Warranties

To the maximum extent permitted by law, the Licensing Platform and all images are provided "as is" and "as available". ALHO Photo Ltd. disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or suitability for Licensee's intended use.

25. Limitation of Liability

To the maximum extent permitted by law, ALHO Photo Ltd. shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, business, or data, even if advised of the possibility of such damages.

To the maximum extent permitted by law, ALHO Photo Ltd.'s total aggregate liability arising out of or related to any image or this Agreement shall not exceed the total license fee actually paid by Licensee for the specific image giving rise to the claim.

26. Injunctive Relief

Licensee acknowledges that unauthorized use may cause irreparable harm for which monetary damages may be inadequate. ALHO Photo Ltd. shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law or in equity.

27. Audit and Records

Upon reasonable notice, Licensee shall provide sufficient records and information to verify compliance with this Agreement, including placement, circulation, duration, territory, publication type, campaign scope, and media of use.

28. Entire Agreement; No Waiver; Severability

This Agreement, together with the applicable invoice, order confirmation, archive purchase record, and any signed custom license addendum, constitutes the entire agreement between the parties concerning the licensed image(s).

No waiver is effective unless in writing. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

29. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, excluding conflict of laws principles.

The courts of England and Wales shall have exclusive jurisdiction, and Licensee irrevocably submits to such jurisdiction and venue, unless mandatory law requires otherwise.
